SEC Announces Reduction in Securities Registration Fees for Fiscal Year 2027
Effective October 1, 2026, the Securities and Exchange Commission (SEC) is lowering the fee rate for public companies and other issuers who register their securities. The new fee will drop from $138.10 to $87.00 per million dollars registered.
For example, an issuer filing a Form S-8 with an aggregate offering price of $15 million would pay a registration fee of approximately $1,305 under the new rate, compared to approximately $2,072 under the current rate.
This change applies to registrations under Section 6(b) of the Securities Act of 1933, as well as the repurchase of securities under Section 13(e) and certain proxy solicitations or tender offers under Section 14(g) of the Securities Exchange Act of 1934.
Federal securities laws require the SEC to review and adjust these registration fees each year based on projected collections needed to meet statutory targets. This annual process uses economic methodologies developed with the Congressional Budget Office and the Office of Management and Budget.
